How Binding is an "Agreement to Negotiate"?


Is an "agreement" by the owner to negotiate exclusively with the other party for a certain period enforceable? A recent California appellate court ruling shows that it may be advisable to add yet more clauses to the customary letter of intent disclaimer to specifically provide that neither party has any obligation to negotiate with the other.

Lease Transfers -- Getting Much More than You Bargained For
